These Terms and Conditions ("Terms") govern your access to and use of the Grahbook India platform ("Grahbook", "Service"), operated by Neha Agrawal, with registered address at Pandey Bazar, Dumeriyaganj Road, Jaggi Colony, Purani Basti, Basti, Uttar Pradesh — 272002.

By registering for or using Grahbook, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

By creating an account, subscribing to a plan, or otherwise accessing the Grahbook platform, you confirm that you are at least 18 years old, have the legal authority to enter into this agreement (including on behalf of a business entity), and accept these Terms in full.

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or an in-app notice at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

2. Description of Service

Grahbook is a cloud-based business management SaaS platform providing WhatsApp-first billing, GST invoicing, UPI payment reconciliation, customer management, and AI-assisted commerce tools for Indian small and medium businesses.

3. Subscription Plans

Grahbook offers the following subscription tiers:

• Mukhiya (Free): Basic features with 1,000 orders/month. No credit card required.
• Bhandari (Pro): ₹399/month or ₹4,499/year. Unlimited orders, GST billing, Tally export, multi-store access, WhatsApp automation.
• Malik (Max): ₹699/month or ₹8,299/year. Everything in Pro plus E-Invoice (IRN), unlimited staff, audit log, priority support.
• Samrat (Enterprise): Custom pricing. Dedicated account manager, custom integrations, SLA, and training. Contact us for a quote.

Feature availability is subject to change. We will provide at least 30 days' notice before removing any feature that existing subscribers rely on.

4. Payment Terms

• All prices are in Indian Rupees (INR) and inclusive of applicable taxes unless stated otherwise
• Subscriptions are billed in advance, monthly or yearly as selected
• Payment is due at the start of each billing cycle
• We accept UPI, net banking, credit cards, debit cards, and other supported payment methods
• Failed payments will result in a grace period of 7 days before account downgrade to the Free plan
• Prices may be revised with at least 30 days' prior notice to existing subscribers
• GST (Goods and Services Tax) at the applicable rate will be charged on all paid plans

5. Prohibited Uses

You agree not to use the Grahbook platform to:

• Violate any applicable Indian or international law or regulation
• Send spam, unsolicited commercial messages, or phishing communications via WhatsApp integration
• Engage in money laundering, tax evasion, or financial fraud
• Upload or transmit malicious code, viruses, or harmful content
• Attempt to gain unauthorised access to other accounts or our infrastructure
• Reverse-engineer, decompile, or create derivative works from our software
• Resell or sublicense access to the platform without written permission
• Generate or process invoices for illegal goods or services
• Impersonate any person, business, or entity

Violation of these prohibitions may result in immediate account suspension or termination without refund, and may be reported to relevant law enforcement authorities.

6. Intellectual Property

All content, software, designs, trademarks, logos, and intellectual property on the Grahbook platform are owned by or licensed to Grahbook India. Nothing in these Terms transfers any intellectual property rights to you.

You retain ownership of all data you input into the platform (your invoices, customer records, business data). You grant Grahbook a limited, non-exclusive licence to process this data solely to provide the Service to you.

7. Data Responsibility

You are responsible for the accuracy of data you enter into Grahbook, for maintaining the confidentiality of your login credentials, and for all activity that occurs under your account. Grahbook is not liable for errors arising from inaccurate data you provide.

8. Service Availability

We aim for 99.5% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. We are not liable for losses arising from service downtime beyond our reasonable control (force majeure events).

9. Limitation of Liability

To the maximum extent permitted under Indian law, Grahbook India's total liability to you for any claim arising under or in connection with these Terms shall not exceed the amount you paid to us in the 3 months immediately preceding the claim.

In no event shall Grahbook India be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages.

10. Account Termination

You may cancel your account at any time from Settings → Subscription → Cancel. Cancellation takes effect at the end of the current billing period.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or abuse the platform. In such cases, no refund will be issued.

Upon termination, your data will be retained for 30 days and then permanently deleted, except where legal retention obligations apply.

11. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, including the Information Technology Act, 2000, the Indian Contract Act, 1872, and the Consumer Protection Act, 2019, as applicable.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Basti, Uttar Pradesh, India, and the parties consent to such jurisdiction.
